TERMS OF SERVICE
Terms of service
These terms form the agreement between the restaurant that creates an account (the “Client”) and Gère ton resto. By creating an account or using the service, the Client accepts them. This English version is provided for convenience; the French version prevails.

The service
Gère ton resto is operated in Montreal, Quebec. Depending on the plan, the service includes an online reservations module, point-of-sale (POS) software and a management portal.
The service is intended for businesses. Features may evolve; a feature essential to the subscribed plan will not be removed without reasonable notice.

Account and access
The Client provides accurate information, protects its credentials and is responsible for actions taken with its staff accounts. It notifies us promptly of any unauthorized access.
The Client agrees not to attempt to bypass security measures, disrupt the service or use it for unlawful purposes.

Free trial
Each plan includes a 30-day free trial, limited to one trial per restaurant. No card is required to start the trial.
If the Client adds a card during the trial, the subscription starts automatically when the trial ends; nothing is charged before then. Otherwise, access is suspended when the trial ends and data is kept as described in the privacy policy.

Pricing and payment
Current prices are shown on the site (for example: Reservations $60, POS $50, both $80 per month, in Canadian dollars). Applicable taxes are extra.
Subscriptions are monthly, payable in advance and renew automatically. Payments are processed by Stripe. Any price change is announced by email at least 30 days before it applies.
If payment fails, access may be suspended after notice. Data is not deleted during suspension.

Termination
The Client may cancel at any time from the billing portal. Cancellation takes effect at the end of the paid period; partial months are not refunded.
We may suspend or terminate an account for a serious breach of these terms, with notice where possible.
Before or after termination, the Client may request an export of its data. It is then deleted as described in the privacy policy, except records the law requires to be kept.

Client data and guest data
The Client owns its data. It is responsible, towards its own guests, for the information collected through its booking pages, and agrees to have a legitimate basis to use it.
Gère ton resto processes that information only to provide the service, under the data processing agreement, which forms part of these terms.

Tax obligations and the POS module
The Client remains solely responsible for its tax obligations, including mandatory billing in Quebec’s restaurant sector.
As of the date of these terms, the Gère ton resto POS module is not a sales recording system (SRS) certified by Revenu Québec. The Client must not use it as its SRS for mandatory billing until that certification has been obtained and announced.
The reservations module is not subject to that certification.

Availability
We make reasonable efforts to keep the service available at all times, but it may be interrupted for maintenance or because of provider outages. The service is provided without any guarantee of uninterrupted availability.
The Client keeps a way to take reservations and bill customers during an interruption (for example the phone and a fallback method).

Liability
To the extent permitted by law, our total liability to the Client is limited to the amounts the Client paid for the service in the 12 months before the event.
We are not liable for indirect losses, such as lost profits, lost goodwill or data loss caused by non-compliant use. Nothing in these terms limits liability that cannot be limited by law.

Intellectual property
The software, the Gère ton resto brand and their content belong to us. The Client receives a non-exclusive, non-transferable right to use them for the duration of its subscription.

Changes to these terms
We may change these terms. Any significant change is announced by email at least 30 days in advance; a Client who refuses it may cancel before it takes effect.

Governing law and language
These terms are governed by the laws of Quebec and the federal laws of Canada applicable therein. The courts of the judicial district of Montreal have jurisdiction.
The French version of these terms prevails. This English version is provided for convenience.
